Pulley’s Managed Services give you customized support for equity and crypto management — designed to save your team time and ensure things run smoothly. These services are tailored to your needs and may evolve over time.
Managed Services are separate from your core Pulley subscription and are typically billed annually (unless otherwise noted in your order form). You can also purchase individual services as needed.
Our team works based on your requests, but you’ll have the final say before anything is completed.
If there are any changes to the scope or limits of what’s included, we’ll communicate those upfront.

Stakeholder Management
Add new stakeholders to Pulley monthly.
Update / edit stakeholder information including email preference, legal address and other fields located on the Stakeholder page monthly.
Activate all stakeholders to the Pulley Portal upon switching to Pulley on a monthly basis.
Provide quarterly audits to ensure all stakeholders are active on the Pulley Portal.
Create a Pulley generated offer letter for new hires with role, compensation details and projected company value growth details as provided by Client, on an ad hoc basis.
Process terminations on an ad hoc basis including:
Executing the termination workflow in Pulley for all securities.
Executing the termination workflow in Pulley for their stakeholder account, including updating their email to a personal email for future record keeping.
Updating Cap Table post secondary transaction
Fundraising
Configure the fundraise modeler pre raise based on client provided scenario(s).
Pre-Raise:
Review pending securities for acceptance.
Ensure draft securities are up-to-date on the cap table.
During/Post-Raise:
Set up the Terms via the Raise with SAFEs and Preferred Shares workflow, with provided data and documents by customer.
Load and send any board approval documentation, if applicable via loading customer provided documentation, configuring applicable merge fields when required, and sending documentation to an approved list of board members.
Add or amend applicable securities to the cap table at the close of the fundraise based on schedule of purchasers.
Add any new stakeholder names, emails, relationship pairings to Pulley.
Activate new portal accounts for all net new stakeholders.
Equity Grant Workflows
Add any options grant templates to Pulley based on Client provided documentation, or leveraging Pulley’s templates with explicit customer approval on an ad hoc basis.
Upload a Notice of Exercise based on client provided document, configured in a Pulley-formatted version for digital signature.
Enter new equity grants to your cap table monthly in the first calendar week of each month unless otherwise specified by the Client.
Add new stakeholders to the Pulley Portal to view their securities.
Edit any securities based on clerical changes following legal and / or board review.
Convert any exercised options into shares on the cap table on a monthly basis.
Attach any Client or Stakeholder provided documentation, if applicable.
Enhanced Client Support
Act as a singular support resource for the Client related to issues outside of the aforementioned Services.
Clients will continue to have access to their dedicated Client Success Manager (if applicable) and our Client Support team via phone, email, and chat.

Recording and Preparation
Provide guidance on recording past settlements in the Pulley system.
Offer best practices for preparing token distributions.
Payroll Compatibility
Confirm compatibility with supported payroll providers when gross earnings reports are submitted at least 3 weeks prior to the target distribution date.
Token Distribution Processing
Process token distributions monthly within 10 business days of receiving complete client details.

Onboarding
Where the Token Onboarding - Pulley template has been deemed satisfactorily completed by the onboarding team, insertion of your token cap table.
Standard time for insertion is then <10 business days for <100 stakeholder companies, where companies have not deviated from any established vesting, lockup or distribution schedules.
Token cap tables with more than 100 stakeholders will be onboarded in accordance with any Client deadlines in mind, on a best efforts basis.
Upload historical documents for stakeholder accessibility in the portal, up to 500 documents
Load all custom templates for use in Pulley
Validate data to ensure accuracy and complete records as of onboarding time
Stakeholder Management

Legal Advice
Information related to legal matters will be referred to the company’s legal counsel.
Tax Advice
Information related to taxes and taxable events may be relayed, but advice will not be provided.
Requests for advice will be referred to a tax professional.
Financial Advice
Information related to finances may be relayed, but advice will not be given.
Requests for advice will be referred to a financial professional (i.e. fractional CFO, tax advisor, or legal counsel).
Ongoing Stakeholder Support
Ongoing stakeholder support outside of answering technical questions to support the process of portal activation, reviewing and accepting securities through Pulley
Terms of Services
Terms of Services
These Services Terms shall apply if and only to the extent that Solutions are purchased by, or otherwise enabled or used. For purposes of these Solutions Terms and the rights and obligations hereunder, Prolific Labs DBA Pulley, Inc. shall remain solely responsible for the performance of these Solutions-related obligations.
Prolific Labs DBA Pulley, Inc. will perform the Services reasonably and in accordance with industry practice with such staffing and personnel as it deems appropriate in its sole discretion. Under no circumstances will Prolific Labs DBA Pulley, Inc. be deemed to offer or otherwise provide, nor will Prolific Labs DBA Pulley, Inc. have any liability for, any legal, regulatory, tax, business, financial, auditing or investment advice, or any other matter not expressly set forth in this Description of Services. Without limiting the generality of the foregoing, Prolific Labs DBA Pulley, Inc. shall not be required to: (i) determine compliance with any laws or regulations surrounding Services provided; (ii) determine the authenticity, accuracy, or completeness of any materials provided; (iii) interpret, resolve or otherwise opine on any term or condition contained in such materials, or the applicability of any law or regulation (or compliance therewith); (iv) validate, or otherwise identify errors in, documents or data provided; (v) recommend any course of action or inaction (vi) take any action it deems in its sole discretion to violate applicable law or regulation, or the Agreement. Prolific Labs DBA Pulley, Inc. shall have no responsibility for any delay in performance resulting from Client’s failure to provide information or materials to Prolific Labs DBA Pulley, Inc. in a timely manner. Prolific Labs DBA Pulley, Inc. shall escalate questions of a legal, regulatory or specialist nature to Client for resolution.
During the Service Period, Client covenants and agrees to (i) promptly notify Prolific Labs DBA Pulley, Inc. of any event that may materially affect Prolific Labs DBA Pulley, Inc.’s ability to perform the Services, including any anticipated failure to provide underlying materials with the lead-time required in the applicable Description of Services; (ii) obtain and maintain all registrations, licenses, authorizations, consents and approvals from third parties that are necessary or desirable to permit Prolific Labs DBA Pulley, Inc. to perform the Services on Client’s behalf; (iii) engage in a professional and courteous manner; (iv) comply with all applicable laws and regulations relating to the Services; (v) respond promptly to any Prolific Labs DBA Pulley, Inc. request to provide information, approvals, authorizations, or decisions that are reasonably necessary for Prolific Labs DBA Pulley, Inc. to perform Services in accordance with the requirements of these Services Terms and the applicable portions of the Description of Services.
Limitation of Liability. Prolific Labs DBA Pulley, Inc. shall have no liability for any loss or damage resulting from the performance or non-performance of its duties with respect to the Services provisioned under these Services Terms unless caused by or resulting from the willful misconduct of Prolific Labs DBA Pulley, Inc. or the grossly negligent or willful violation by Prolific Labs DBA Pulley, Inc. of any material provision of these Services Terms. Without limiting any of Client’s other obligation, Client shall indemnify, defend and hold harmless Prolific Labs DBA Pulley, Inc. and its Indemnified Parties with respect to the provision of the Services from any loss, cost, damage or out-of-pocket expense, including reasonable expenses for counsel, resulting from or related to any action, claim, demand, suit or proceeding arising out of or in connection with (a) any action or omission by Client, its Affiliate(s), subsidiaries, counterparties or their respective agents or representatives in the performance of its or their respective duties under these Services Terms, (b) actions taken or omitted by Prolific Labs DBA Pulley, Inc. upon any instruction it reasonably believed to have been provided by Client, its Affiliates, or their respective agents (including legal counsel), or (c) otherwise out of the performance of the Services by Prolific Labs DBA Pulley, Inc..
