When do you need stockholder approval?

Similar to getting board approval, various company actions require approval of the stockholders as well. These are typically less common and more material decisions, such as:

  • Electing or removing board members

  • Financing rounds

  • Adoption of equity plans or stock option plans

  • A merger or acquisition

  • Amending the corporate charter and bylaws
