Pulley is thrilled to announce our new partnership with Nasdaq Private Market (NPM), providing a streamlined and secure way to offer liquidity solutions to your shareholders. This integration empowers you to manage the entire process directly within the Pulley platform.

Why Liquidity Matters

Liquidity events are essential for private companies, allowing shareholders to realize the value of their holdings. By offering shareholders a way to sell their vested shares, you can:

How the NPM Integration Works

NPM, a leader in facilitating compliant and efficient liquidity events for private companies, offers a sophisticated platform to manage tender offers. Our integration with NPM simplifies the entire process:

  • Request NPM Onboarding: Once you’ve enabled data sharing, easily initiate the onboarding process with NPM directly from your Pulley dashboard.

  • Manage Data Sharing Requests with Complete Control: You maintain full control over your sensitive cap table data. Approve or deny NPM's data access requests with a few clicks within the Pulley platform.

  • Seamless Data Sharing: Pulley streamlines the data transfer process once you approve NPM's request, ensuring NPM has the necessary information to facilitate your liquidity event.

Step-by-Step Guide to Initiating a Liquidity Event

  1. Navigate to the Liquidity Feature: Locate the "Liquidity" section under the “Cap Table” tab of the left side navigation bar. This is our central hub for managing liquidity events. Here you will be guided through and see the status of the steps needed to start a liquidity event with NPM, from enabling data sharing to onboarding with NPM, and sharing cap table data.

  2. Enable Data Sharing: Before initiating a liquidity event, navigate to the "Data Sharing" page within Pulley.

  3. Turn Data Sharing On: Click the "Enable data sharing" button. This allows third-party apps, including NPM, to request access to your cap table data. You and other company admins will receive an email notification informing you of the change.

  4. Return to the Liquidity Feature: Return to your Pulley dashboard and locate the "Liquidity" section, your central hub for managing liquidity events.

  5. Request NPM Onboarding: Click this button to initiate the onboarding process with NPM. A modal window will appear providing additional details.

  6. Confirm Your Company: Type your company name precisely as it appears on Pulley to confirm and enable the "Request NPM onboarding" button.

  7. Submit Your Onboarding Request: Once you click "Request NPM onboarding," Pulley will initiate the process, and an NPM onboarding agent will reach out to guide you.

  8. Create a Data Sharing Request: From the “Liquidity” tab, create a Data Sharing Request to share your cap table data with NPM. You will need to select the date “as of” which you want to share the cap table. An admin will need to approve this request before any data is sent.

Managing Data Access Requests: Transparency and Security

  1. Review Data Requests: Admins will need to create a Data Sharing Request to share cap table data with NPM. You'll see this request within the "Data Sharing" section of your dashboard.

  2. Approve or Reject Requests: You have complete control. Thoroughly review the specific data points requested before approving or denying access.

  3. View Shared Data: Before approving or rejecting a request, you can review the exact data snapshot NPM will receive.

  4. Monitor Data Sharing Activity: Pulley provides a comprehensive overview of all data sharing requests, showing the status of each request: "Pending," "Approved," "Denied," or "Auth Failed."

  5. Revoke Access: If data sharing is enabled, you can disable it at any time to prevent any further requests or revoke existing access. Note that disabling data sharing will also affect any pending requests.
